Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Paradox Intelligence ("Service"), an alternative data platform owned and operated by Paradox Intelligence. By creating an account, checking the "I agree" checkbox during registration, or by accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

Eligibility: You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service. We may modify these Terms at any time. For material changes, we will provide at least 30 days' notice by posting the updated Terms on our website and, where applicable, by sending you an email notification. Your continued use of the Service after the effective date of modified Terms constitutes your acceptance. If you do not agree, you must stop using the Service before the changes take effect.

Affirmative Consent to Recurring Billing: By purchasing a subscription, you provide your electronic signature and affirmative consent to these Terms, including automatic renewal and recurring billing provisions as described in Section 4.

2. Description of Service

Paradox Intelligence provides users with alternative data solutions, including but not limited to search trends analysis, social media insights, web traffic data, and predictive analytics tools designed to inform investment decisions.

The Service is provided "as is" and on an "as available" basis without any representation or warranty, whether express, implied, or statutory. We specifically disclaim any implied warranties of title, merchantability, fitness for a particular purpose, and non-infringement.

3. User Accounts

In order to access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to immediately notify Paradox Intelligence of any unauthorized use of your account or any other breach of security.

4. Subscription and Payments

4.1 Subscription Plans

We offer various service tiers as described on our find-your-plan page. Enterprise tiers may be governed by separate Master Services Agreements which shall supersede conflicting provisions in these Terms.

4.2 Free Trials

Free trials require a valid payment method. At trial end, your plan will AUTOMATICALLY CONVERT to a paid subscription and your payment method will be charged unless you cancel before the trial ends. Failure to cancel is not grounds for a refund.

4.3 Automatic Renewal and Billing

By purchasing a subscription, you authorize us to charge your payment method on a RECURRING BASIS without further authorization until you cancel. Subscriptions automatically renew for subsequent terms of the same duration at the then-current rate.

4.4 Cancellation and Refunds

You may cancel anytime through your account settings. Cancellation becomes effective at the end of your current paid term. All subscription fees are non-refundable except as required by law or for documented billing errors at our sole discretion.

4.5 Fee Changes

We may change subscription fees at any time. Changes become effective at the end of your current billing cycle with reasonable advance notice.

5. Data Usage and Limitations

The Service provides access to alternative data sets and analytics. You may use this data solely for your internal business or investment purposes. You may not redistribute, resell, or commercially exploit the data without our express written permission.

The data provided through the Service is subject to rate limits and usage restrictions as described in your subscription plan. Attempting to exceed these limits or circumvent our restrictions may result in the suspension or termination of your account.

6. Intellectual Property Rights

The Service, including all of its content, features, and functionality, is owned by Paradox Intelligence and is protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms do not grant you any right, title, or interest in the Service, content, or our trademarks, logos, or other brand features. You agree not to modify, adapt, translate, prepare derivative works from, decompile, reverse engineer, disassemble, or otherwise attempt to derive source code from the Service.

7. User Conduct

You agree not to use the Service to:

• Violate any applicable law or regulation
• Impersonate any person or entity
• Engage in any activity that interferes with or disrupts the Service
• Attempt to gain unauthorized access to the Service or related systems
• Collect or harvest any personally identifiable information from other users
• Use the Service in any manner that could disable, overburden, damage, or impair the Service
• Use automated means (robots, scripts, spiders, crawlers) to access, monitor, copy, or harvest data
• Take actions that impose unreasonable loads on our infrastructure or disrupt system functioning
• Circumvent or attempt to circumvent any rate limits, usage restrictions, or security measures
• Reverse engineer, decompile, or attempt to derive source code from the Service

8. Disclaimer of Warranties

THE SERVICE AND ALL CONTENT IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. PARADOX INTELLIGENCE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

PARADOX INTELLIGENCE MAKES NO WARRANTY THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; OR (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.

INFORMATION OBTAINED THROUGH THE SERVICE IS NOT INTENDED TO BE INVESTMENT ADVICE AND SHOULD NOT BE RELIED UPON FOR MAKING INVESTMENT DECISIONS. PARADOX INTELLIGENCE IS NOT A REGISTERED INVESTMENT ADVISOR OR BROKER-DEALER.

9. Limitation of Liability

IN NO EVENT SHALL PARADOX INTELLIGENCE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM (A) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (B) PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE WHATSOEVER; (C) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN; (D) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICE; (E) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICE; AND/OR (F) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT PARADOX INTELLIGENCE IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY EVENT, PARADOX INTELLIGENCE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU HAVE PAID TO PARADOX INTELLIGENCE IN SUBSCRIPTION FEES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION. YOU SPECIFICALLY ACKNOWLEDGE THAT PARADOX INTELLIGENCE SHALL NOT BE LIABLE FOR USER SUBMISSIONS OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

10. Indemnification

You agree to defend, indemnify, and hold harmless Paradox Intelligence, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your use of the Service caused damage to a third party.

11. Conflicts of Interest Disclosure

Principals, employees, and affiliates of Paradox Intelligence may hold positions in securities referenced by the Service. All data outputs and analytics are generated using uniform, automated methodologies and are not influenced by any such holdings. This disclosure is provided for transparency purposes.

12. Mandatory Arbitration & Class Action Waiver

12.1 Informal Resolution First

Before initiating any formal dispute resolution, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 60 days. Most concerns can be resolved quickly through informal negotiation.

12.2 Agreement to Binding Arbitration

If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or your use of the Service shall be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in English and the arbitrator's decision shall be final and binding.

12.3 Waiver of Jury Trial and Class Action

You expressly waive any right to a trial by jury and the right to participate in a class action, class arbitration, or representative action. All disputes must be brought in your individual capacity.

12.4 Small Claims Court Exception

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within that court's jurisdictional limits.

12.5 30-Day Right to Opt Out

You may opt out of this arbitration provision by contacting us within 30 days of first agreeing to these Terms. To opt out, send an email to [email protected] with "Arbitration Opt-Out" in the subject line and include your name and account information.

13. Termination

13.1 Termination by You

You may terminate your account at any time through your account settings or by emailing [email protected]. Upon voluntary termination, your access will continue until the end of your current paid billing period, after which your account will be deactivated.

13.2 Termination by Us

We may suspend or terminate your account and access to the Service immediately, without prior notice, if: (a) you breach any provision of these Terms; (b) we are required to do so by law; (c) we reasonably believe your account has been used for unauthorized or fraudulent activity; or (d) we decide to discontinue the Service (in which case we will provide at least 30 days' advance notice). We may also terminate for convenience with 30 days' written notice.

13.3 Effect of Termination

Upon termination: (a) your right to use the Service will immediately cease; (b) we will delete or anonymize your personal data in accordance with our Privacy Policy and applicable data retention obligations; (c) you may request an export of your data within 30 days of termination by emailing [email protected]; and (d) no refunds will be issued for any unused portion of a prepaid subscription term, except as required by applicable law.

13.4 Survival

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, Sections 5 (Data Usage), 6 (Intellectual Property), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Indemnification), 11 (Conflicts of Interest), 12 (Arbitration), and 14 (Governing Law).

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to: natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics or pandemics, strikes or labor disputes, network infrastructure failures, cyberattacks, power outages, or government-imposed restrictions. The affected party will promptly notify the other party and use commercially reasonable efforts to mitigate the impact.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Paradox Intelligence regarding your use of the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service. Enterprise customers with a separate Master Services Agreement may have terms that supplement or supersede certain provisions herein.

16.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16.3 Waiver

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by Paradox Intelligence to be effective.

16.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempted assignment in violation of this section shall be null and void. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, corporate restructuring, or sale of all or substantially all of our assets. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties and their respective successors and permitted assigns.

16.5 Notices

We may provide notices to you under these Terms by posting on the Service, sending to the email address associated with your account, or by other reasonable means. You are responsible for keeping your email address current. Notices to us must be sent to [email protected].

16.6 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights in any person or entity.

17. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on this page. You are advised to review these Terms periodically for any changes.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
